Affiliate Program Terms

1. Program Overview

The Viadomus Affiliate Program ("Program") allows approved participants ("Affiliates") to earn commissions by referring new paying subscribers to Viadomus ("Company"). By applying to or participating in the Program, you agree to be bound by these Terms and Conditions ("Terms").

2. Eligibility and Approval

Participation in the Program is subject to approval at the sole discretion of Viadomus. We reserve the right to accept or reject any application without providing a reason. Approved Affiliates will receive a unique referral code and access to an affiliate dashboard. Viadomus may revoke affiliate status at any time, for any reason, with or without notice.

3. Commission Structure

Approved Affiliates earn a commission of 30% of the monthly subscription revenue generated by referred customers for as long as the referred customer maintains an active, paid subscription.

• Commissions are earned only on paid subscriptions. Free plan sign-ups do not generate commissions.
• Commissions are calculated on the net subscription amount after any applicable taxes, refunds, or chargebacks.
• Annual subscriptions are treated as monthly payments — commission is earned and paid monthly over the subscription period, not as a lump sum.
• Commission rates are subject to change with 30 days written notice to active Affiliates.

4. Payment Terms

• Minimum payout threshold: $50 USD. Earnings below this threshold roll over to the following month.
• Payment schedule: Commissions are paid on or around the 15th of the following calendar month, subject to the conditions below.
• Full months only: Commissions are only paid for complete calendar months of active subscription. No commission is earned or paid for partial months, including the month in which a customer signs up or cancels.
• Cancellation: If a referred customer cancels their subscription, commission payments cease immediately. No commission is paid for the month in which the cancellation occurs, regardless of when in the month the cancellation took place.
• Refunds and chargebacks: If a referred customer receives a refund or initiates a chargeback, any commission paid for that transaction will be deducted from future earnings.
• Payment method: Payments are made via PayPal or bank transfer to the account details provided by the Affiliate. Viadomus is not responsible for payment delays caused by incorrect account details.
• Viadomus reserves the right to withhold payment if fraudulent activity is suspected pending investigation.

5. Tracking and Attribution

Referrals are tracked via unique referral links containing the Affiliate's code. A 30-day cookie window applies — if a referred visitor signs up within 30 days of clicking the referral link, the referral is attributed to the Affiliate. Only the first referral link clicked is credited (first-click attribution). Self-referrals — signing up using your own referral link — are strictly prohibited and will result in immediate termination from the Program and forfeiture of any pending earnings.

6. Prohibited Conduct

Affiliates must not:

• Use misleading, false, or deceptive marketing practices
• Misrepresent Viadomus products, pricing, or features
• Use paid search advertising that targets Viadomus branded keywords without prior written approval
• Spam or send unsolicited emails promoting Viadomus
• Use their own referral link to sign up, whether directly or through a third party
• Offer cash rebates or unauthorised discounts to referred customers
• Engage in cookie stuffing or any other fraudulent tracking methods

Violation of any of these conditions may result in immediate termination, forfeiture of unpaid commissions, and potential legal action.

7. Program Modifications and Termination

Viadomus reserves the right to:

• Modify, suspend, or terminate the Affiliate Program at any time with 30 days notice to active Affiliates
• Change commission rates with 30 days written notice
• Terminate any individual Affiliate's participation immediately for cause, including but not limited to violation of these Terms, fraudulent activity, or conduct deemed harmful to Viadomus
• Withhold or forfeit commissions where fraud or Terms violations are identified

Upon termination, any earned commissions above the minimum threshold for completed months will be paid within 60 days, subject to the absence of fraud, chargebacks, or outstanding disputes.

8. Relationship of Parties

Affiliates are independent contractors, not employees, agents, partners, or joint venturers of Viadomus. Affiliates are solely responsible for their own taxes, expenses, and compliance with applicable laws in their jurisdiction.

9. Intellectual Property

Viadomus grants Affiliates a limited, non-exclusive, revocable licence to use approved Viadomus brand assets solely for the purpose of promoting the Program. Affiliates must not modify brand assets or use them in a manner that implies endorsement beyond the scope of the Program.

10. Limitation of Liability

Viadomus's total liability to any Affiliate under this Program shall not exceed the total commissions paid to that Affiliate in the 3 months preceding the claim. Viadomus is not liable for any indirect, incidental, or consequential damages arising from participation in the Program.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, United States. Any disputes shall be resolved by binding arbitration in accordance with Section 12 of the Viadomus Terms of Service.
